Recharacterization
The decision by a court not to take a transaction at face value but instead to look at its commercial effect in order to determine its validity.
For example, a court in certain jurisdictions may determine that the true character of a transaction which involves quasi security is one of security, not ownership, and, as a result, may require that the transaction be registered as security or may treat the transaction as ineffective.
